These Terms of Service set out the rules that apply when a person uses this website or engages the painting, finishing and studio tuition services of MEGSYARTS LLC. The company trades as a creative studio from 2265 S State St APT 240, Salt Lake City - 84115-1402, United States (US), and the developer credit shown on the site belongs to Megs Arts, who works alongside the company. By browsing these pages, sending an enquiry or booking a commission, a person agrees to the terms below.
The wording is deliberately direct. It explains what the studio will do, what a client is asked to do, how money and dates are handled, and what happens when a project runs into difficulty. If any part is unclear, the contact details at the end of this document can be used to ask before a commitment is made.
1. Acceptance of These Terms
By opening a page on this website, a visitor accepts the terms described here to the extent that they relate to browsing and enquiry. By placing a commission, enrolling in a lesson block, booking a clinic or handing work to the finishing service, a client enters a binding agreement with MEGSYARTS LLC on these terms together with any written quotation or project schedule issued for that job.
A person who does not accept these terms should not use the website or engage the studio. Where a client is acting for a company, gallery or other organisation, that client confirms they hold authority to bind the organisation to these terms. Where a client is under eighteen years of age, a parent or guardian must accept these terms and act as the point of contact.
2. About the Company
MEGSYARTS LLC is a limited liability company working in commission painting, artwork finishing and studio art tuition. The studio is located at 2265 S State St APT 240, Salt Lake City - 84115-1402, United States (US). All correspondence, invoices and notices relating to these terms should be directed to that address or to arts@megsarts.lol. The studio telephone number is +19898229205.
References to the studio, we, our or the company in these terms mean MEGSYARTS LLC. References to the client or you mean the person or organisation engaging the studio. The developer credited on this website, Megs Arts, is not a separate contracting party, and the contract is always formed with the company.
3. Use of This Website
The website is provided for information about the studio and for making enquiries. A visitor may read, print and share pages for personal and professional reference. A visitor may not copy substantial parts of the site into another publication, mirror the site behind a different address, or present the studio writing as their own.
The following activities are prohibited. Attempting to gain unauthorised access to the server or to any file behind the public pages. Using automated tools to scrape the site at a volume that degrades service for others. Introducing malicious code, probing for vulnerabilities without written permission, or interfering with the availability of the pages. Sending unsolicited commercial messages through any contact channel offered by the studio. Impersonating the studio, its staff or a client.
The studio may suspend access to the website for maintenance or security reasons. Where an interruption is planned, reasonable effort will be made to complete it outside business hours. The studio does not guarantee that every page will be available at every moment, and the site is offered without a service level commitment.
4. Scope of Services
The studio offers six lines of work: portrait commissions, palette-knife landscapes, beginner studio lessons, colour theory clinics, pet portrait weeks and gallery wrap finishing. Each line is described on the services page. A description on the website is an outline, and the binding scope for any job is the written quotation or schedule issued for that job.
The studio does not offer graphic design, print production, framing with glass, photography shoots or installation work unless a separate written agreement says otherwise. Where a request falls outside the listed services, the studio may decline it or refer it elsewhere. No obligation arises from a general enquiry until a written quotation has been accepted and any required deposit has cleared.
5. Quotations and Estimates
A quotation states the service, the size or session count, the materials to be used, the price and the expected delivery window. Quotations remain open for fourteen days from the date of issue unless a different period is stated. Prices are given in United States dollars and do not include shipping unless the quotation says so.
A quotation is based on the information available at the time. If a client changes a subject, raises the size, adds a second sitter or supplies references that require a different approach, the studio may revise the price and schedule and will issue a revised quotation before continuing. Work already completed is charged at the rate in the original quotation.
Estimates given during a telephone call or in an informal message are indicative only and do not bind the studio. Where a quotation contains an obvious error in price, the studio may withdraw it before acceptance and issue a corrected version.
6. Booking and Confirmation
A booking is confirmed when three conditions are met: the client has accepted the quotation in writing, the studio has confirmed a place on the bench, and any deposit required by the quotation has been received. Until all three are satisfied, the date is not reserved and may be offered to another client.
Confirmation is sent by email and lists the agreed subject, size, price, deposit, progress review points and delivery window. The client should check the confirmation carefully and raise any discrepancy within three working days. After that point the confirmation is treated as the agreed record of the job.
7. Fees and Payment
Portrait commissions, palette-knife landscapes and pet portrait weeks normally require a deposit of forty percent at booking, with the balance due before collection or dispatch. Lesson blocks are paid in full at enrolment. Colour clinics are paid at booking. Finishing work is invoiced on collection or dispatch unless a different arrangement is agreed in writing.
Invoices are payable within fourteen days of issue. Where a payment is late by more than fourteen days and the studio has sent a reminder, the studio may pause work and hold finished pieces until the outstanding amount is settled. A late payment charge may be applied at the rate of one and a half percent per month on the outstanding balance, calculated from the due date.
The studio does not accept payment card details by email. Payment should be made by the method shown on the invoice. Bank charges and currency conversion costs are the responsibility of the client. Receipts are issued for every payment, and a client may request a statement of account at any time.
8. Scheduling and Delivery
The studio works on one main commission at a time so that each piece receives a proper drying window. Delivery windows in a quotation take account of priming, working passes, curing and finishing. They are given in good faith and are normally met, but they depend on the reference material arriving on time and on the client responding to progress reviews within a reasonable period.
A delay caused by missing references, late approval or a change of brief will move the delivery window by at least the length of the delay. The studio will notify the client as soon as a delay becomes likely and will propose a revised date. Where the client needs a fixed date for a gift or an event, that date should be stated at the brief stage so that the schedule can be built backwards from it.
Lessons and clinics run on fixed dates. A student who arrives late may join the session but will not receive extra time at the end. If the studio needs to move a session, the student will be offered an alternative date or a credit.
9. Client Reviews and Revisions
Commissioned work includes two progress reviews at agreed points. At each review the client may request reasonable adjustments to colour, background treatment or minor compositional details while the surface is still workable. Changes that require a substantial repaint, a change of size or a new subject are treated as a change of brief and may attract a revised quotation.
The final review covers small corrections only. Once a piece has been varnished and backed, further changes are not normally possible without stripping the finish, and any such work will be quoted separately. The studio will say clearly when a requested change falls outside the included revisions before any extra work begins.
10. Client Responsibilities
A client is asked to provide clear references, a reliable contact address and prompt responses to review messages. Good references make a good portrait; blurred photographs taken in poor light limit what any painter can achieve. Where the studio has advised that a reference is unsuitable and the client chooses to proceed with it, the client accepts the resulting limitation.
A client must hold the rights needed to share any reference image or document supplied to the studio. Where an image was made by a photographer, the client is responsible for obtaining permission for its use in a painting or finishing job. The client agrees to indemnify the studio against a claim arising from the client failure to hold those rights.
A client attending the studio must follow reasonable safety instructions. Wet paint, solvents and sharp tools are present in the working area. Children attending with a parent must remain supervised. The studio may ask a visitor to leave if behaviour puts the work, the equipment or another person at risk.
11. Cancellation and Rescheduling
A commission may be cancelled by the client before work begins, in which case the deposit is refunded less any materials already ordered for that job. Once the working block has started, the deposit is non refundable and the client is liable for the value of work completed at the date of cancellation, up to the full quoted price.
A sitting may be rescheduled without charge if the studio is told at least forty eight hours in advance. A sitting rescheduled with less notice, or a client who does not attend, may be charged as a completed sitting at the studio discretion. Repeated missed sittings may lead to the commission being paused and the delivery window extended.
Lesson bookings may be cancelled up to seven days before the first session for a full refund. Between seven days and the first session, a credit toward a later block is offered. After the first session, the block fee is not refundable, though the studio may offer a credit where illness or an emergency is explained and documented.
12. Refunds and Credits
Where the studio cannot deliver a booked service because of its own failure, the client will receive a refund of the amount paid for the undelivered part. Where the studio has offered a credit instead, the client may choose the refund if the delay is substantial. Refunds are returned by the same method used for the original payment where practicable.
Custom artwork is made to a brief and is not a stock product, so a change of mind after completion is not a ground for a refund. If a client believes a finished piece does not match the approved brief, they should contact the studio within seven days of collection or delivery with photographs. The studio will review the concern honestly and, where the claim is justified, will offer a correction, a credit or a partial refund as appropriate.
Shipping charges are refunded only where the studio cancels the shipment. A parcel lost in transit will be replaced or refunded once the carrier has completed an investigation.
13. Studio Lessons and Clinics
Beginner lessons run in six week blocks with a maximum of four students. Clinics run for two hours with a smaller group. Places are allocated on a first confirmed basis, and a place is confirmed only when payment has cleared. The studio may decline an enrolment where a block is full or where a session is not suitable for the needs described by the student.
Materials are supplied for lessons. Clinic attendees bring their own paint tubes, since the clinic works with the pigments already in use by each painter. A student who damages studio equipment through careless use may be charged the reasonable cost of replacement. The studio is not responsible for personal items left behind, though a lost item will be kept for thirty days before disposal.
Photographs of student work are taken only with permission and are used only for the student own progress record unless a separate written permission covers studio promotion. Course notes and demonstration sheets are for personal use and may not be resold or used to run competing classes.
14. Finishing Service Terms
The finishing service stretches or mounts work supplied by the client. Before work begins, the studio will inspect the piece and describe any condition that limits what can be achieved, such as a frail canvas, an already sealed surface or a frame that will not carry the intended hardware. A client who proceeds after that advice accepts the noted limitation.
Pieces are handled with care, but a work that is brittle, flaking or damp carries a higher risk of loss. The studio will not accept such work without a written acknowledgement of that risk. Completed finishing work is photographed before handover so that its condition at release is documented.
Finishing is charged per piece according to size and complexity. A quotation is issued before work starts. Turnaround is normally five to seven working days and may be shortened when the schedule allows, but no rush is accepted where it would compromise the seal or the cure.
15. Intellectual Property
All text, images, layout and code on this website belong to MEGSYARTS LLC or are used with permission. The site may not be reproduced in whole or in substantial part without written consent. The studio name, the studio marks and the distinctive presentation of the paint bench artwork are protected identifiers and must not be used in a way that suggests an association that does not exist.
For commissioned artwork, the studio retains copyright in the finished piece and in any preparatory sketches unless a separate written agreement assigns copyright to the client. The client receives the physical artwork, or a physical reproduction as agreed, together with permission to display it privately and to photograph it for personal use. Commercial reproduction, printed merchandise or licensing to a third party requires a separate written licence.
Studied work, demonstration sheets and course notes created for lessons remain the property of the studio. A student may use the techniques learned without restriction, but may not copy the written notes for distribution.
16. Promotional Use of Work
The studio would like to show completed work in its portfolio and on its channels, but it will not do so without clear permission from the client. Permission is requested in writing after the final review and can be limited, for example to a portfolio page without the client name, or to a private viewing on request.
Where permission has been given, it may be withdrawn at any time by written notice. The studio will then remove the image from its own channels within a reasonable period. Withdrawal does not require the removal of printed material already in circulation, though the studio will not produce new copies featuring the withdrawn image.
Student work is shown only with the student permission and follows the same withdrawal arrangement. The studio will never publish a reference photograph supplied for a commission as though it were a finished artwork.
17. Risk, Shipping and Collection
A client may collect a finished piece from the studio at 2265 S State St APT 240, Salt Lake City - 84115-1402, United States (US) by appointment during business hours. Collection should be arranged within thirty days of the completion notice. Storage beyond thirty days may attract a small charge to cover safe keeping.
Where the studio arranges shipping, the piece is crated and dispatched with a tracked carrier. Risk passes to the client on delivery to the address given in the confirmation. The client should inspect the parcel on arrival and report damage within three working days, keeping all packaging for the carrier investigation. Where the client arranges their own carrier, risk passes when the piece is handed to that carrier.
Shipping costs are estimated in the quotation and may be adjusted if the carrier rate changes before dispatch. Any import duty or local tax charged at the destination is the responsibility of the client.
18. Limitation of Liability
The studio will perform its services with reasonable skill and care. Except for that commitment, the website and its content are provided as they are, without a warranty that every page will be free of error or available without interruption. Nothing in these terms excludes a liability that cannot be excluded by law, including liability for fraud or for death or personal injury caused by negligence.
To the extent permitted by law, the total liability of MEGSYARTS LLC for a claim arising from a service is limited to the amount paid by the client for that service. The studio is not liable for indirect or consequential loss, including lost profit, lost opportunity or loss of reputation, however that loss arises.
The studio is not responsible for the fading, cracking or deterioration of a piece caused by display in direct sunlight, a damp wall, a kitchen environment or a surface that was not prepared as described in the care sheet. A care sheet is supplied with every finished piece, and following it is the best protection for the work.
19. Indemnification
A client agrees to indemnify and hold harmless MEGSYARTS LLC, its members and its contractors against a claim, loss or expense arising from the client breach of these terms. This includes a claim that a reference image or other material supplied by the client infringed the rights of another person, and a claim arising from the client commercial use of a piece without the licence described above.
The studio will notify the client promptly of any claim it receives that falls within this section and will cooperate in a reasonable defence. The client may not settle a claim in a way that admits fault on the part of the studio without written consent.
20. Privacy and Correspondence
Personal information supplied to the studio is handled as described in the Privacy Policy published on this website. That policy forms part of the overall relationship and should be read alongside these terms. In the event of a conflict on a point of data handling, the Privacy Policy governs.
Formal notices under these terms should be sent by email to arts@megsarts.lol and, where the matter is significant, also by post to the studio address. A notice sent by email is treated as received on the next working day. The studio will send formal notices to the email address given by the client in the confirmation.
21. Events Outside Our Control
The studio is not liable for a delay or failure caused by an event beyond its reasonable control. Such events include severe weather, fire, flood, a prolonged power failure, a public health emergency, a transport strike, a failure of the carrier network, a cyber incident affecting a shared service, or a change in law that prevents the work from continuing.
Where such an event occurs, the studio will notify the client as soon as it can and will propose a revised schedule. If the event continues for more than sixty days, either party may end the agreement, and the studio will refund any amount paid for work not yet performed.
22. Suspension and Termination
The studio may suspend a project or close the relationship where a client fails to pay an undisputed invoice after a reminder, supplies material that infringes the rights of another person, behaves abusively toward the studio, or repeatedly fails to respond to reasonable requests. Suspension will be confirmed in writing with the reason stated.
A client may terminate a project in writing at any time, subject to the cancellation provisions above. On termination, the client pays for work completed and materials ordered to that point, and the studio releases any finished work once the account is settled.
23. Governing Law and Disputes
These terms are governed by the laws of the State of Utah in the United States, without regard to conflict of law rules. The parties will first attempt to resolve a dispute through good faith discussion. A written complaint should be sent to arts@megsarts.lol with the relevant invoice or project reference, and the studio will reply within fourteen days.
If discussion does not resolve the matter, the parties agree to attempt mediation before beginning court proceedings. Where mediation is not successful, the courts located in Salt Lake County, Utah, will have jurisdiction, unless a mandatory consumer protection rule in the client country of residence gives the client the right to bring a claim locally. Nothing in this section prevents either party from seeking urgent relief to protect property or confidential information.
24. Changes to These Terms
The studio may update these terms when a service changes, a payment method is introduced or the law requires a revision. The effective date at the top of the page records the most recent revision. Updated terms apply to new bookings from the date of publication and do not alter the terms of a project already confirmed, unless the client agrees in writing.
Visitors are encouraged to read this page when beginning a new project. A copy of the terms in force at the time of a booking can be provided on request.
25. How to Contact Us
